PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THIS WEBSITE OR THE BIFROST PORTAL, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE, DO NOT USE THIS WEBSITE OR THE PORTAL.

1. Acceptance of Terms

1.1 These Terms and Conditions ("Terms") govern your access to and use of: (a) the website located at 9realmssecurity.com and all subdomains (the "Website"); and (b) the Bifrost client portal located at portal.9realmssecurity.com and associated applications (the "Portal"). The Website and Portal are collectively referred to as the "Services."

1.2 These Terms constitute a legally binding agreement between you ("User," "you," or "your") and 9 Realms Security LLC, a Florida limited liability company ("9 Realms," "we," "us," or "our"), located at 12651 N Dale Mabry Hwy #270115, Tampa, FL 33688.

1.3 By accessing the Website, creating a Portal account, registering for a webinar, or using any feature of the Services, you represent that: (a) you are at least 18 years of age; (b) you have the authority to bind the organization on whose behalf you are acting; and (c) your use of the Services complies with all applicable laws and regulations.

1.4 We reserve the right to update these Terms at any time. Updated Terms will be posted with a revised effective date. Your continued use of the Services following any update constitutes acceptance of the revised Terms. We will provide reasonable notice of material changes via email or prominent notice on the Website.

2. Description of Services

2.1 Website. The 9realmssecurity.com website provides marketing information about 9 Realms' cybersecurity services, blog content, webinar registration, and contact capabilities. The Website is informational in nature.

2.2 Bifrost Portal. The Bifrost portal provides authenticated clients and registered users with access to security dashboards, threat intelligence data, GRC assessment tools, document management, service reports, and related features. Portal features available to you depend on your account tier and active service subscriptions.

2.3 Free Tier. Users who register through a webinar or the GRC free assessment offer receive a free-tier account with limited Portal access. Free-tier accounts include access to the NIST CSF Mini self-assessment, the Services tab, and the Account page. All other Portal features require a paid subscription. Free-tier access may be modified or discontinued at any time with reasonable notice.

2.4 No Professional Services Relationship. Access to the Website or a free-tier Portal account does not create a professional services relationship, engagement, or contract between you and 9 Realms. Paid professional services are governed exclusively by a signed Master Services Agreement and Statement of Work.

3. Account Registration & Security

3.1 To access the Portal, you must register for an account. You agree to provide accurate, current, and complete information and to keep your account information updated.

3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify 9 Realms immediately at info@9realmssecurity.com if you suspect unauthorized access to your account.

3.3 You may not share your account credentials with any other person or entity. Each user must have their own account. Organization accounts may add authorized users subject to applicable seat limits.

3.4 9 Realms reserves the right to suspend or terminate accounts that violate these Terms, are inactive for an extended period, or pose a security risk to the Services or other users.

3.5 Multi-Factor Authentication. For security accounts and paid-tier Portal users, multi-factor authentication (MFA) may be required. You agree to enroll in MFA when required and to maintain your MFA device or backup codes. 9 Realms is not responsible for account lockouts resulting from loss of MFA credentials.

4. Acceptable Use

4.1 You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Services to transmit, store, or display any content that is unlawful, harmful, threatening, defamatory, obscene, or otherwise objectionable
  • Attempt to gain unauthorized access to any part of the Services, other user accounts, or any system or network connected to the Services
  • Use automated means, bots, scrapers, or crawlers to access or collect data from the Services without express written permission
  • Reverse engineer, decompile, or disassemble any portion of the Services
  • Use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with other users' use
  • Upload or transmit any malware, viruses, or other harmful code
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Use threat intelligence data, security findings, or other outputs from the Services to harm any third party or facilitate unauthorized access to any system
  • Attempt to probe, scan, or test the vulnerability of the Services or any associated infrastructure

4.2 Security Data Handling. Threat intelligence data, vulnerability findings, and security assessments accessed through the Portal are provided for the authorized organization's internal security use only. You shall not share, redistribute, publish, or resell such data. You acknowledge that misuse of security data may cause harm and may violate applicable law.

5. Intellectual Property

5.1 All content on the Website and Portal, including text, graphics, logos, software, methodologies, report templates, and service descriptions (collectively, "9 Realms Content"), is owned by or licensed to 9 Realms and is protected by applicable intellectual property laws.

5.2 9 Realms grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and 9 Realms Content for your internal business purposes. This license does not permit: (a) reproduction or distribution of 9 Realms Content without written permission; (b) creation of derivative works; (c) commercial use of 9 Realms Content beyond your internal security program; or (d) removal of any proprietary notices.

5.3 Your Content. You retain ownership of any content, data, or materials you upload to the Portal ("Your Content"). By uploading Your Content, you grant 9 Realms a limited license to store, process, and display Your Content solely to provide the Services to you. 9 Realms does not claim ownership of Your Content.

5.4 Feedback. If you provide feedback, suggestions, or ideas about the Services, you grant 9 Realms a royalty-free, worldwide, irrevocable license to use such feedback without restriction or compensation to you.

6. Third-Party Services & Links

6.1 The Services integrate with and display data from third-party sources including threat intelligence feeds, security platforms, and cloud services. 9 Realms does not control and is not responsible for the accuracy, completeness, or availability of third-party data.

6.2 The Website may contain links to third-party websites. These links are provided for convenience only. 9 Realms does not endorse and is not responsible for the content, privacy practices, or terms of any third-party website.

6.3 Third-party integrations available through the Portal (such as Microsoft 365, SentinelOne, or Stellar Cyber) are subject to the terms of service of those respective providers. You are responsible for ensuring your use of such integrations complies with applicable provider terms.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 9 REALMS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

7.1 9 Realms does not warrant that: (a) the Services will be uninterrupted, error-free, or secure; (b) any threat intelligence, vulnerability data, or security information provided through the Services is complete, accurate, or current; (c) the Services will meet your specific security requirements; or (d) any defects in the Services will be corrected.

7.2 Security Information Disclaimer. Threat intelligence data, vulnerability information, and security advisories provided through the Services are for informational purposes only, customer is responsible for remediation decisions. They do not constitute professional security advice. 9 Realms' professional security services are provided under separate written agreements and are not delivered through these Terms.

7.3 No Guarantee of Security. While 9 Realms implements industry-standard security measures for the Services, no system is completely secure. You acknowledge and accept the inherent risks of transmitting information over the internet.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 9 REALMS AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF 9 REALMS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.1 In no event shall 9 Realms' total cumulative liability to you for all claims arising from or related to these Terms or the Services exceed the greater of: (a) $100.00; or (b) the total amount paid by you to 9 Realms for the Services during the twelve (12) months immediately preceding the claim.

8.2 The limitations in this Section apply regardless of the legal theory on which the claim is based, including contract, tort, negligence, strict liability, or any other theory.

8.3 Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, 9 Realms' liability is limited to the greatest extent permitted by applicable law.

9. Indemnification

9.1 You agree to indemnify, defend, and hold harmless 9 Realms and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party right; or (e) any content you upload, transmit, or otherwise make available through the Services.

10. Dispute Resolution & Arbitration

10.1 Informal Resolution. Before initiating any formal dispute process, the parties agree to first attempt to resolve any dispute informally. The party with a dispute must provide written notice to the other party describing the dispute in reasonable detail. The parties shall negotiate in good faith for thirty (30) days following such notice.

10.2 Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer or Commercial Arbitration Rules, as applicable. Arbitration shall take place in Hillsborough County, Florida. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

10.3 Class Action Waiver. YOU AND 9 REALMS EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found unenforceable for any reason, then the arbitration agreement shall be null and void with respect to that dispute.

10.4 Exceptions. Notwithstanding the arbitration agreement, either party may seek emergency injunctive or other equitable relief in the state or federal courts located in Hillsborough County, Florida to prevent irreparable harm while arbitration is pending. Additionally, claims within the jurisdiction of small claims court may be brought in that court.

10.5 Governing Law. These Terms are governed by the laws of the State of Florida without regard to its conflict of laws provisions. For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Hillsborough County, Florida.

11.1 9 Realms respects intellectual property rights. If you believe that content on the Website or Portal infringes your copyright, please send a DMCA notice to our designated agent:

11.2 A valid DMCA notice must include: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material; (d) your contact information; (e) a statement that you have a good faith belief the use is not authorized; and (f) a statement under penalty of perjury that the information is accurate.

12. Termination

12.1 You may stop using the Services and close your account at any time by contacting us at info@9realmssecurity.com.

12.2 9 Realms may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services ceases immediately.

12.3 Survival. Sections 4, 5, 7, 8, 9, 10, and 13 survive any termination of these Terms.

13. General Provisions

13.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and 9 Realms regarding your use of the Services. For paid professional services, the applicable MSA and SOW govern and take precedence over these Terms.

13.2 Severability. If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

13.3 No Waiver. 9 Realms' failure to enforce any provision of these Terms shall not constitute a waiver of future enforcement of that or any other provision.

13.4 Assignment. You may not assign your rights or obligations under these Terms without 9 Realms' prior written consent. 9 Realms may assign these Terms without restriction in connection with a merger, acquisition, or sale of all or substantially all of its assets.

13.5 Force Majeure. 9 Realms shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet outages, or government actions.
